1. About these terms
1.1 These Partner Terms are an agreement between you and [[COMPANY LEGAL NAME]], a company registered under number [[COMPANY NUMBER]] whose registered office is at [[REGISTERED ADDRESS]] ("Bolt Claw", "we" or "us"), which runs the Bolt Claw service at boltclaw.ai.
1.2 These Partner Terms apply from [[EFFECTIVE DATE]] whenever you use a Bolt Claw account to apply to, join or promote a Program, and you accept them when you first apply to or join a Program.
1.3 They add to the Bolt Claw Terms of Service, which apply to every Bolt Claw account. If the two conflict about anything you do as a Partner, these Partner Terms win.
1.4 How we handle personal data about you is described in the Referral Privacy Notice at boltclaw.ai/privacy/referrals and in the Bolt Claw Privacy Policy.
1.5 These Partner Terms do not cover a person a Merchant adds from its own app without a Bolt Claw account. That person's relationship is with the Merchant alone.
2. Definitions
2.1 In these Partner Terms:
- "Account" means your Bolt Claw account.
- "Commission" means an amount of money that a Program's rules credit to you for a Referral, as recorded in Bolt Claw.
- "Dashboard" means the signed-in part of boltclaw.ai, and a Merchant's partner portal on its own domain where it has one.
- "Directory" means the list of Programs in the Dashboard under Referrals, Discover.
- "Disclosure Line" means the short sentence a Merchant sets for its Program that tells people a Partner earns from a link.
- "Grant" means a reward that is not money, such as credit, a free period, a discount, a perk or a gift card.
- "Merchant" means a business that runs a Program on Bolt Claw.
- "Partner", "you" and "your" mean the person who uses an Account to promote a Program, and the business that person signs for, if any.
- "Payout" means a payment of Commissions from a Merchant to you.
- "Payout Details" means where you want to be paid, such as a PayPal or Wise email address or bank details, and an email address for gift cards.
- "Payout Provider" means a payments or rewards company that a Merchant uses to pay you from the Merchant's own account there, such as PayPal, Wise, Stripe, Tremendous, Trolley or Tango.
- "Program" means a referral, affiliate or similar program that a Merchant runs on Bolt Claw.
- "Program Terms" means the terms a Merchant sets for its Program.
- "Referral" means a visit, sign-up, purchase or other event that a Program's rules attribute to your links or codes.
- "Referral Data" means the data Bolt Claw holds about your use of the referral features.
- "Tax Form" means a Form W-9, W-8BEN or W-8BEN-E, or Bolt Claw's statement that you are not a US person, that you sign in the Dashboard for a Merchant.
- "Two-step Verification" means the one-time code from an authenticator app that your Account can require when you sign in.
3. Your Account
3.1 You must be at least 18 years old and able to make a binding contract to be a Partner.
3.2 If you use an Account for a business, you confirm that you may accept these Partner Terms for it, and "you" then includes that business.
3.3 You sign in with Google, or with an email address and a password. An Account created with an email address and a password cannot be used until you confirm the address.
3.4 You must give accurate information, keep it up to date and keep your sign-in details secret. You are responsible for what is done with your Account.
3.5 We recommend that you turn on Two-step Verification in Settings, Account. Once it is on, every sign-in to your Account needs the code.
3.6 Tell us at once at [[SECURITY CONTACT EMAIL]] if you think someone else has used your Account.
4. Programs, and who you contract with
4.1 You can apply to a Program through the Merchant's signup or invite link, a personal invite link the Merchant gives you, or the Directory. The Merchant decides whether to approve you; some Programs approve every applicant automatically.
4.2 When a Merchant approves you, you and the Merchant make a contract on its Program Terms. Bolt Claw is not a party to that contract, does not write or check its terms, and does not promise that the Merchant will keep it.
4.3 The Program Terms decide what earns a Commission or a Grant, the rates, how long a referral counts after a click, how long Commissions are held, what happens on a refund, the minimum Payout, how and when you are paid, which Tax Forms are asked for and which promotion methods are allowed. Read them before you join.
4.4 Bolt Claw records which version of a Program's terms you accepted and when. When a Merchant changes them, the Program page shows the new version, and where the Merchant requires it, your Payouts from that Program wait until you accept the new version.
4.5 A Merchant may reject your application, end your membership or ban you under its Program Terms. Bolt Claw does not review those decisions, but you can tell us at support@boltclaw.ai if you think a Merchant is misusing Bolt Claw.
4.6 You can leave a Program at any time on its Program page. Leaving archives your links for that Program and switches off your discount codes at once. Conversions and Commissions already recorded stay, and anything the Merchant still owes you remains between you and the Merchant.
5. Money: what Bolt Claw does and does not do
5.1 Bolt Claw does not pay Commissions. Every Commission, Grant and Payout is owed to you by the Merchant whose Program it comes from, under its Program Terms, and never by Bolt Claw.
5.2 Bolt Claw never receives, holds, pools or routes money for Merchants or Partners, and takes no fee from what you earn. A Merchant pays you from its own account at a Payout Provider, on an instruction that a person at the Merchant approves, or pays you by its own means and records the Payout as paid in Bolt Claw.
5.3 The amounts in your Dashboard are records that Bolt Claw keeps for the Merchant from what the Merchant and its billing systems report. They are not a promise of payment by Bolt Claw, and a Commission can change under the Program Terms, for example when a sale is refunded or while a person at the Merchant reviews it.
5.4 Bolt Claw is not responsible if a Merchant does not pay you, pays you late or pays less than you expect, closes its Program or its Account, or if a Payout Provider delays, refuses or returns a payment. Your claim for money owed is against the Merchant.
5.5 To be paid through a Payout Provider, you may have to accept that provider's own terms and give it information directly, for example on Stripe's or Trolley's own pages. Your relationship with a Payout Provider is between you and that provider.
5.6 Bolt Claw charges Partners nothing. Any fee a Payout Provider charges is set by its own terms and by the Program Terms.
5.7 Bolt Claw does not promise that you will earn anything.
6. Tax
6.1 You are responsible for your own taxes on what you earn, and for giving each Merchant and each tax authority the information the law requires of you.
6.2 A Merchant may ask you for a Tax Form before it pays you. You sign it in the Dashboard under Tax and invoices, as the Tax Form Disclosures explain. Each Tax Form is given only to the Merchant that asked for it; another Merchant asks for its own, which Bolt Claw fills in for you from your last one.
6.3 If a Program asks for a Tax Form, your Payouts from it wait until you give one. Signing a new Tax Form replaces your last one for that Merchant, and if you change your name, tax identification number or address, your Tax Forms at every other Merchant are replaced too and each Merchant asks you again.
6.4 A Form W-8BEN or W-8BEN-E stops counting at the end of the third calendar year after the year you sign it, and Bolt Claw emails you 60 days and 14 days before that.
6.5 A Merchant's Program Terms may say that Commissions held because a Tax Form is missing are forfeited. Only a person at the Merchant can forfeit them, with a written reason, and Bolt Claw never forfeits anything by itself.
6.6 Bolt Claw prepares these forms; it does not give tax advice or file anything for you.
6.7 Bolt Claw does not file tax returns or information returns, does not withhold tax, does not check tax identification numbers with any tax authority and does not report your earnings to any tax authority. The Merchant that pays you does those things where the law requires them of the Merchant, using the data Bolt Claw prepares for it.
6.8 If you are a business in the European Union or the United Kingdom registered for VAT, a Program may offer self-billing, where the Merchant issues your invoices for you under a separate Self-billing Agreement between you and the Merchant, which you may accept or refuse in the Dashboard. A Program may instead ask you to upload your own invoice for each Payout.
6.9 You may agree in the Dashboard to receive a Merchant's Form 1099-NEC electronically, and you can withdraw that agreement at any time, as the disclosure shown with it explains.
7. Telling people you earn from your links
7.1 Each time you promote a Program, you must make it clear, before anyone follows your link or uses your code, that you earn a Commission or another reward from it. This applies wherever you promote it, including posts, videos, live streams, stories, emails, messages, websites, reviews and bio pages, and the statement must be easy to notice and to understand where it appears.
7.2 Bolt Claw shows you the Program's Disclosure Line the first time you copy a link or a code, again when you copy one 30 days or more after you last acknowledged it, beside every link you place from the Dashboard, and with every ready-made text from the Program's library. Bolt Claw records when you acknowledge it, and the Merchant can see that.
7.3 Using the Disclosure Line does not by itself make your disclosure enough. You must also follow the rules where your audience is, including the US Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255), the UK CAP Code and the Digital Markets, Competition and Consumers Act 2024, and the EU Unfair Commercial Practices Directive (2005/29/EC) as each country applies it.
7.4 In the United States, words such as "affiliate link" on their own may not be enough, and a statement such as "I earn a commission if you buy through my link" is clearer. In the United Kingdom, content you are paid for may need to be labelled as an advertisement, for example with "Ad" at the start.
7.5 You must never write, buy or arrange fake reviews or testimonials, hide that a review was rewarded, or buy followers, views or other signs of influence. These are unlawful under, among others, the FTC's Trade Regulation Rule on the Use of Consumer Reviews and Testimonials (16 CFR Part 465) and Schedule 20 to the UK Digital Markets, Competition and Consumers Act 2024.
8. Promotion methods banned on every Program
8.1 Whatever the Program Terms say, you must not:
- (a) refer yourself, your own accounts, or accounts or payment cards you control, or ask someone to buy for you so that you earn from your own purchase;
- (b) set a referral code or cookie for someone who did not choose to follow your link, for example through hidden frames, pop-unders, forced redirects or scripts on other people's pages;
- (c) produce clicks, sign-ups or sales with bots, scripts, click farms, bought traffic, data-centre addresses or anything else that does not come from a real person's own choice;
- (d) pay or reward people to click, sign up or buy, unless the Program Terms allow it and you describe the offer honestly;
- (e) send email, messages or comments that the recipient did not ask for, where the law of the recipient's country requires their consent and you do not have it;
- (f) make false or misleading claims about a product, its price or results, the Merchant, or what anyone can earn;
- (g) present yourself as the Merchant or as Bolt Claw, or use the Merchant's names, logos or trademarks except as its Program Terms allow, including bidding on them in paid search where the Program Terms forbid it;
- (h) use adware, browser extensions or other software that inserts or replaces links, codes or cookies on pages you do not own;
- (i) publish codes on coupon or deal sites where the Program Terms forbid it;
- (j) promote a Program next to content that is unlawful or that infringes someone else's rights;
- (k) charge anyone a fee to join a Program, or reward anyone for recruiting other Partners, except through a second tier the Merchant itself offers in its Program Terms; or
- (l) interfere with Bolt Claw, for example by guessing link codes or tokens, forging requests, getting around rate limits or security checks, or copying the Directory or other data out of Bolt Claw by automated means.
8.2 Bolt Claw's fraud checks may hold a Commission for longer or send it to a person at the Merchant for review, but a check never rejects a Commission, confirms fraud or bans you by itself. A person at the Merchant decides, under its Program Terms.
8.3 If you break this clause 8, the Merchant may act under its Program Terms, and Bolt Claw may also suspend or end your use of the referral features under clause 15.
9. The Directory
9.1 The Directory lists only Programs whose Merchant chose to list them. Only signed-in Accounts can open it, and it is not shown to search engines.
9.2 A listing is the Merchant's own description of its Program. Bolt Claw checks some conditions before a Program can be listed, for example that it has terms and a reward for partners, but Bolt Claw does not check that a listing is accurate, does not promise that the Merchant pays, and does not recommend any Program.
9.3 You apply to a listed Program on its own Program Terms and questions, as clause 4 describes.
9.4 You can report a listing that you believe is misleading or unlawful. When three Accounts that are at least seven days old have reported a listing, it is hidden until a person at Bolt Claw decides whether it returns. Misusing reports is a breach of these Partner Terms.
9.5 You must not copy the Directory, or any part of it, by automated means.
10. Security, and protecting your Payouts
10.1 Before you change your Payout Details, choose how a Program pays you, unlock your Payouts, sign or download a Tax Form, accept self-billing or delete your Referral Data, Bolt Claw asks you to have signed in within the last 15 minutes, and for your two-step code if your Account uses Two-step Verification. A session that was only kept alive does not count as signing in.
10.2 When your Payout Details change, Bolt Claw emails your Account's sign-in address. The email names no Payout destination and no Program, and carries a "Lock my payouts" link.
10.3 For 48 hours after your Payout Details change, your Payouts are held, and each Merchant that would pay you sees that your Payout Details changed recently. Bolt Claw may change that period to protect Partners.
10.4 If you did not make the change, use the "Lock my payouts" link in that email, which works once and without signing in. While your Payouts are locked, every Merchant's Payouts to you are held: none can be sent to you through a Payout Provider or included in a payout file. To unlock them you must sign in again, which also cancels any other lock link still open. A lock link expires after 14 days.
10.5 Bolt Claw's fraud checks score your conversions and applications. Your Dashboard shows "Under review" only while a person at the Merchant must decide; otherwise it shows the later date on which held money becomes payable.
10.6 You must keep your Payout Details accurate. Bolt Claw is not responsible for a Payout sent to details you entered.
11. Data about you
11.1 Bolt Claw is the controller of the data that belongs to your Account rather than to any one Program: your sign-in and security details, your profile, your Payout Details, your Tax Forms as Bolt Claw collects and keeps them, and the record of the consents and choices you make in the Dashboard. We use them as the Referral Privacy Notice describes.
11.2 Each Merchant is the controller of the data about your membership of its Program, such as your application, your display name there, your status, links, codes and results, and your Commissions, Grants and Payouts. Bolt Claw processes that data for the Merchant and on its instructions, and the Merchant's own privacy notice applies to it.
11.3 A Merchant whose Program you apply to or join sees your display name for that Program, your country, the type of payout method you use, your status, your results and your application. It sees your email address only if you switch on sharing it for that Program, and never your Account's identifier.
11.4 A Merchant receives your Payout Details only to pay money it owes you, in a payout file it downloads, through the Payout Provider it pays you with, or through its own payout system. A Merchant receives a Tax Form only if you signed it for that Merchant.
11.5 A Merchant can send messages to the Partners of its Program through Bolt Claw. You can stop one Program's messages from being emailed to you, with the link in each email or on the Program page; you still see them on the Program page, and emails about your Commissions, Payouts and Tax Forms are not affected.
12. Exporting and deleting your Referral Data
12.1 In Settings, Account, "Download my referral data" builds a ZIP file of your Referral Data: your profile, memberships with the Program terms versions you accepted, links and codes, click and conversion counts by month, Commissions with the reason for each amount, Grants, Payouts, Payout Details, your Tax Forms and invoices as PDF files, your consents and the record of who opened your Tax Forms. Each table comes as JSON and as CSV, with a README that explains every file.
12.2 When the file is ready we email your Account's sign-in address, and the email carries no link to the file. You download it from Settings, Account while signed in, within 24 hours; it can be downloaded once and is then deleted. You can ask for at most three a day, one at a time.
12.3 "Delete my referral data" first shows you, Program by Program, what will be deleted, what will be kept and why, and any money still owed to you. You must have signed in within the last 15 minutes, and it cannot run while a Payout Provider is still sending a Payout to you.
12.4 Deleting ends every membership you have, replaces your display names with "Former partner", archives your links, gives them new random codes and switches off your discount codes. It deletes your profile, your Payout Details, Bolt Claw's records of your accounts at Payout Providers, your payout lock links and the choices that mattered only while you were a member, such as showing your name to friends or on a leaderboard and receiving a Program's messages.
12.5 Some records are kept, without your name or email address, because each Merchant must keep them for its accounts and taxes: Commissions, Grants, Payouts, invoices, self-billing agreements, the record that you accepted Program terms, self-billing and electronic delivery of Form 1099-NEC, and your Tax Forms until their retention date. Your agreement to electronic delivery of Form 1099-NEC is withdrawn.
12.6 After you delete your Referral Data, money still owed to you can no longer be paid to you through Bolt Claw. The Merchant can still pay you by other means, and you should contact it directly.
12.7 If your whole Account is deleted, the same steps run first.
12.8 You can correct the information you gave at any time in the Dashboard: your profile, your display names and your Payout Details directly, and a Tax Form by signing a new one.
13. What you publish
13.1 You keep any rights you have in what you publish. You allow Bolt Claw to store the information you enter in the Dashboard, to show it to the Merchants concerned as clause 11 describes, and to show your links and codes to the people who use them, so that the service works.
13.2 A code you choose yourself is public, because anyone who sees your link sees it. Do not choose a code that uses someone else's name or trademark.
13.3 A Merchant may give you images, texts and links to use, and you may use them only as its Program Terms allow.
14. The service, and changes
14.1 Bolt Claw provides the referral features "as is" and "as available". We do not promise that they will always be available, free of errors, or suitable for any particular purpose.
14.2 We may change the referral features. Where a change removes something that matters to you as a Partner, we will try to tell you in advance.
14.3 We may change these Partner Terms. We will tell you at least 30 days before a change that matters to you, by email or in the Dashboard, unless the law or security requires it sooner. If you do not agree, you can stop being a Partner before the change takes effect.
15. Suspension and ending
15.1 You can stop being a Partner at any time by leaving your Programs, and you can delete your Referral Data as clause 12 describes.
15.2 Bolt Claw may suspend or end your use of the referral features, or your Account, if you break these Partner Terms or the law, if the law requires it, or to protect people or the service. Where it is safe and lawful, we will tell you why and give you a chance to respond.
15.3 When your use ends, your links stop working and your memberships end. Records are kept as clause 12.5 describes, and money a Merchant owes you remains between you and that Merchant.
15.4 Clauses 5, 6.7, 12.5, 16 and 17 continue to apply after these Partner Terms end.
16. Liability
16.1 Nothing in these Partner Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited, and nothing in them affects rights you have as a consumer.
16.2 Bolt Claw is not liable for anything a Merchant or a Payout Provider does or fails to do, including a Merchant's failure to pay you any Commission, Grant or Payout, or a Merchant's decisions under its Program Terms.
16.3 Bolt Claw is not liable for lost profits, revenue, Commissions or business opportunities, or for any indirect or consequential loss.
16.4 Bolt Claw's total liability to you under or in connection with these Partner Terms in any 12-month period is limited to [[LIABILITY CAP AMOUNT]].
16.5 You will compensate Bolt Claw for any loss it suffers from a claim by someone else that results from your breach of clause 7 or clause 8.
17. General
17.1 These Partner Terms are governed by [[GOVERNING LAW]], and the courts of [[COURTS]] decide any dispute about them. If the law of the country where you live gives you the right to bring a claim in your own courts or under your own law, you keep that right.
17.2 Notices to Bolt Claw go to [[LEGAL NOTICES EMAIL]]. We send notices to your Account's sign-in address or show them in the Dashboard.
17.3 You may not transfer these Partner Terms to anyone else. We may transfer them to a company that takes over the service, and we will tell you if we do.
17.4 If a court decides that part of these Partner Terms is invalid, the rest continues to apply.
17.5 Only you and Bolt Claw can enforce these Partner Terms.
17.6 These Partner Terms, with the Bolt Claw Terms of Service, are the whole agreement between you and Bolt Claw about being a Partner. Your agreements with each Merchant are its Program Terms.
